1. Our agreement with you

These terms describe how we provide website development, website care and separately agreed automation or integration services. "We" means Mark Rollin Borja. "You" means the customer identified in the written project agreement.

Before paid work is agreed, we provide a written scope identifying the customer, deliverables, price, payment timing, schedule, required access and any third-party fees. The agreement includes that scope, the version of these terms supplied to you, and our Refund & Cancellation Policy. You must expressly accept the agreement, for example by signing it or affirmatively confirming acceptance in writing after receiving it. Merely browsing our website does not purchase a service or create a subscription.

For a custom automation, integration, diagnostic or repair project, the scope must also identify any deposit or milestones, how completed work will be valued if the project ends early, the acceptance checks and the cancellation terms. The standard brochure-package payment arrangement does not automatically apply to custom projects. We do not begin a custom project until those items are agreed.

An expressly agreed project-specific provision takes priority over a conflicting general provision, subject to applicable law. Changes to scope or price require both parties' written agreement. If you act for a business, you confirm that you are authorized to enter the agreement for it.

2. Website packages

Our current brochure-website packages are $99 for one page, $299 for three pages and $499 for five pages, in US dollars, plus any applicable tax disclosed before payment. A page means a separately addressed main content page, rather than each section within a scrolling page. The written scope identifies the pages and sections included.

The $99 one-page package includes business information, services, supplied photos and agreed contact links. It does not include a working inquiry form. The three- and five-page packages include one basic inquiry form as specified in the scope. Automatic appointment confirmation, live booking calendars, online payments, customer accounts and other integrations require separate agreement.

The build includes a mobile-friendly layout, use of your supplied branding and content, basic search setup, and testing of agreed functions before launch. We will review the preview together and make small adjustments to the agreed design and content. Additional pages, a substantial redesign or added features are discussed and priced before we start them. We do not charge for extra work without your approval.

Policy-page formatting, if included in your scope, is separate from the main marketing-page count. The scope states how many policy pages we will format and who provides their text. We do not provide legal advice or certify that a customer's policy text or website complies with every applicable law.

3. Customer information, content and access

You provide accurate business information and content you own or are permitted to use. You authorize us to use that content only as reasonably needed to deliver and support your project. We do not gain ownership of your supplied materials.

You review your business details, service claims, contact details and supplied content before approval. We remain responsible for performing our agreed work with reasonable care; your approval does not excuse our mistakes or remove legal rights.

We use appropriate software and service providers to deliver work. Before accessing non-public customer records or connecting live systems, we agree on permitted tools, data, access and any needed processing terms. Do not send passwords, full payment-card details or sensitive records through ordinary email or chat. Use a separately agreed secure access method.

You are not required to give us ownership of your domain or business accounts. We request only the access needed for the agreed task. We do not take responsibility for systems we have not been authorized and engaged to manage.

4. Review, delivery and launch

The schedule is confirmed after scope, content and access needs are understood. If missing information, delayed feedback or another dependency changes the schedule, we discuss a revised date with you. Silence is not treated as final approval.

For the brochure packages above, no build payment is required upfront. You review the finished preview and approve it in writing before we request the build payment. We launch after payment is confirmed and the required domain and account access is ready. Any different milestones for a custom project must be agreed beforehand.

Delivery is electronic: the agreed website, source/export files where applicable, access or handover instructions, and any documentation listed in the scope. There are no physical shipping fees. We check the agreed layout, links and functions. When a form is included, acceptance includes testing an authorized sample request reaching the agreed destination and checking visible success and error behavior.

If you need to pause or cancel, tell us. The Refund & Cancellation Policy explains the financial treatment. We will not retrospectively create an hourly cancellation charge for a no-upfront fixed-price build.

5. Prices, payments and taxes

We show the total agreed charge and applicable taxes before payment. Online payment is made through the provider identified at checkout. A payment provider may send a receipt and process payment information under its own terms. We do not add a card-processing surcharge unless expressly disclosed and legally permitted; none is included in the current brochure-package offer.

Optional services and third-party purchases are not included unless stated. A one-time website purchase does not authorize recurring charges. If a payment fails, we contact you about the affected work; it does not authorize unrelated charges or deletion of a paid-for website.

6. Domains, hosting and outside services

Your domain is registered to you through an account you own wherever practicable. Its initial registration and renewals are separate unless your scope expressly includes them. Domain availability and provider prices can change until purchase. We do not register or renew a domain, buy a subscription or upgrade a plan at your expense without your authorization.

A simple brochure website can use the proposed Cloudflare Pages free plan with HTTPS/SSL. "Free hosting" means the provider's current free-tier service, not a guarantee that every provider feature, unlimited functionality or lifetime hosting will remain free. Third-party limits, outages and policy changes can affect service. We discuss options and costs before making a paid change.

Forms, payment tools, email and other services may have usage allowances and separate fees. Their actual provider, allowance, over-limit behavior and renewal charges must be included in the project scope before acceptance. We do not promise unlimited form submissions or guaranteed email inbox placement.

You remain responsible for keeping your domain and customer-owned accounts active unless management of a specific renewal is expressly included. We help with the agreed setup and handover. Canceling care does not transfer your domain to us or give us permission to remove your paid-for website.

7. Optional monthly website care

The optional plan costs $39 per monthly billing period, plus any applicable disclosed tax. It includes a monthly website check, a check of the contact form if present, and up to one hour of minor fixes or text/photo updates during that period. Checks are in addition to the one-hour update allowance. This is not continuous monitoring or emergency cover.

The plan starts on the date shown at sign-up and renews monthly only with your express consent to recurring billing. We disclose the charge, billing frequency and cancellation method before you authorize it. It has no long-term minimum commitment.

The hour applies to each paid billing period, does not roll over and is not redeemable for cash. If you submit a suitable request during that period and we cannot complete it because of our scheduling, we carry that accepted work forward without taking it from the next period's allowance. Canceling renewal does not erase that already-accepted work within a paid period's allowance; we complete it or agree on an appropriate refund.

Extra time, larger changes, new pages and new features require an approved quote. We explain the expected timing when you request work. Corrections of our own mistakes in the agreed build do not use your paid update allowance. The Refund & Cancellation Policy explains how to stop care and how refunds are handled.

8. Pay-as-you-go work

If you do not choose monthly care, occasional edits or fixes are $25 per hour with a $25 minimum per request, plus any applicable tax. Before work begins, we agree on the requested work, estimated time, total price or spending limit, and payment timing. We keep a record of time and do not exceed your approved limit without asking. Work beyond the first hour is charged for actual time unless another basis is agreed.

The request includes checks of the affected website, links and contact form if present. Checks are part of the estimated work, not a promise to repair every unrelated issue for $25. Any additional problem requiring work is explained and quoted first.

9. Mistakes, performance and support

We aim to deliver the agreed work with reasonable care. Tell us if a deliverable does not match the scope or a function we built is not working as agreed. We investigate and correct mistakes attributable to our work without charging you for new development. If we cannot reasonably resolve a material failure, the Refund & Cancellation Policy applies.

This does not make all future changes, third-party failures or problems caused by later modifications free work. We explain the cause and proposed cost before charging for a different task. No artificial reporting deadline in these terms removes a right provided by law.

We do not guarantee search rankings, sales, visitor numbers, uninterrupted operation or particular results from an outside provider. These limits do not excuse failure to carry out the work we actually agreed to perform. Response and delivery times are agreed for the task; ordinary packages do not include 24-hour emergency support, full disaster recovery or an accessibility/legal compliance certification.

10. Website rights and handover

You retain ownership of content and branding you supply. After full payment, you may use, host, copy, modify and have another provider maintain the delivered website for your business. We provide the agreed files and account handover without requiring a care subscription.

For original project-specific material that we own and agree to transfer, the signed project agreement identifies the rights transferred and makes transfer effective on payment. Until any required signed transfer is completed, we grant a perpetual, worldwide, non-exclusive, royalty-free license on payment to use, modify and host that material as part of your website, including through a replacement provider. A later refund does not silently reverse a signed assignment or terminate this license; any agreed return of rights or restriction on use must be set out clearly in the refund agreement and must respect applicable law.

We retain pre-existing tools, reusable templates and general know-how. You receive the rights needed to use included provider-owned components as part of the delivered site, subject to their disclosed licenses. Third-party and open-source assets retain their own terms. We do not promise exclusive rights or copyright protection for material that does not qualify for it, or rights we do not own.

Unpurchased previews remain evaluation material unless we agree otherwise. We ask for permission before using your name, logo, project or testimonial in our portfolio or advertising. We do not publish private customer information as a case study.

11. Confidentiality and personal information

We use non-public project information only for delivery, support and other agreed or legally required purposes. We restrict access to the people and providers who need it for those purposes, with appropriate contractual or professional duties where applicable. This does not prevent use of information already lawfully public or independently developed. Permission to perform the project is not permission to use confidential client information to train a general-purpose model; permitted tool providers and relevant settings must be agreed before that information is submitted.

Our Privacy Policy explains our agency's handling of personal information. If a project involves processing your customers' data for you, we will agree on the processing instructions, security, providers, retention and return/deletion responsibilities before that processing begins.

12. Pausing or ending work

Either party can request an end to ongoing work by written notice. We may pause affected work where required access is missing, an agreed payment is overdue, or continuing would create an unlawful or serious security risk. We explain the issue and give an opportunity to resolve it when reasonably possible. We do not use a dispute over care to seize a domain, disclose information or delete a paid deliverable. Handover, refunds and unpaid agreed charges are addressed fairly under the scope and Refund & Cancellation Policy.

13. Concerns, legal rights and updates

Contact mark@hexmarksystems.com so we can try to resolve a problem directly. You do not have to complete an internal complaint process before exercising a legal right or contacting a bank, regulator or court. These terms do not require arbitration, waive class actions or waive rights that the law does not allow you to waive.

Applicable law determines liability and available remedies. Nothing in these terms excludes liability or limits a right where the law does not permit that exclusion or limitation. A refund or correction offered under our policy does not remove other remedies you may have under applicable law.

We may update these terms for future orders by publishing a new effective date. A change does not retrospectively alter an existing accepted scope or authorize a higher recurring charge. We will give notice and obtain consent when required for changes to an ongoing plan. If a provision cannot be enforced, the remaining agreement continues to the extent permitted by law.

If the business later becomes a company or changes its contracting provider, we will identify the new provider and handle existing agreements through appropriate notice and any required consent. Updating a website name, obtaining an EIN or forming a company does not itself release the original provider from obligations already incurred.
